Subscription and License Agreement

1. LICENSE GRANT & SCOPE

1.1 License Grant: Licensor grants You a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Application during the applicable subscription term.

1.2 Scope of Use: You may use the Licensed Application for your own business operations on devices and accounts you own or control.

1.3 Restrictions: You may not:

• Share, rent, lease, or sublicense the Licensed Application.
• Reverse engineer, decompile, or attempt to extract the source code.
• Modify or create derivative works of the Licensed Application.
• Use the Licensed Application in any unlawful manner.

2. SUBSCRIPTION TERMS

2.1 Subscription Plans: WynSeller offers Starter, Growth, and Scale subscription plans with different access levels, integrations, and support terms. Plan details, pricing, and benefits are available on the WynSeller website.

2.2 Billing & Payment:

• Subscriptions are billed on a recurring monthly basis unless canceled.
• Payment is processed through WynSeller’s authorized payment processors.
• Failure to pay may result in suspension or termination of access.

2.3 Cancellation & Refunds:

• You may cancel your subscription at any time through your account settings.
• Refunds may be issued within 7 days of purchase if paid features have not been materially used.

3. SERVICE TERM & RENEWALS

3.1 Subscription Period:

• Monthly subscriptions renew automatically each month.
• Access to plan-specific features continues only while your subscription remains active.

3.2 Renewals & Expiration:

• If a subscription is not renewed, access may be downgraded or removed according to plan rules.
• We may update plan features over time as the platform evolves.

4. TRIAL OR ONBOARDING ACCESS

WynSeller may offer a free profit audit or limited onboarding experience for evaluation purposes. Trial access is limited, and upon expiration or completion, You must subscribe to continue using paid features.

5. MAINTENANCE & SUPPORT

5.1 The Licensor is responsible for maintaining and supporting the Licensed Application. Support inquiries should be directed to WynSeller’s support team.

6. DATA COLLECTION & PRIVACY

6.1 By using the Licensed Application, You acknowledge and agree to WynSeller’s Privacy Policy.

6.2 WynSeller may collect usage and connected channel data as necessary to provide dashboards, analytics, automation, and support.

7. TERMINATION

7.1 This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately if You violate its terms.

7.2 Upon termination, You must cease all unauthorized use of the Licensed Application and any confidential materials in your possession.

8. LIABILITY & WARRANTY DISCLAIMERS

8.1 The Licensed Application is provided "as is" without warranties of any kind, express or implied.

8.2 WynSeller shall not be liable for indirect, incidental, or consequential damages arising from the use of the Licensed Application.

9. INTELLECTUAL PROPERTY

9.1 All intellectual property rights in the Licensed Application are owned by WynSeller or its licensors. You are granted no rights other than those expressly stated in this Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Vietnam, excluding its conflict of law provisions.
